Terms of service
1. Introduction
These terms and conditions ("Terms") govern the supply of goods and services ("Products") by Valstone Engineering ("we", "us", or "our") to any person or entity ("you" or "your") placing an order with us. By placing an order with us, you agree to be bound by these Terms.
2. Products
We manufacture and supply a range of engineering parts and components, as displayed on our website and as may be otherwise agreed with you. We also offer bespoke engineering solutions tailored to your specific requirements. All Products are subject to availability.
3. Orders and Acceptance
3.1 All orders placed with us are subject to our acceptance. We reserve the right to refuse any order for any reason.
3.2 Once your order has been accepted, we will send you a confirmation email with the details of your order. This email constitutes our acceptance of your order and forms a legally binding contract between us.
4. Price and Payment
4.1 The price of the Products shall be as set out on our website or as otherwise agreed with you. All prices are exclusive of VAT and any other applicable taxes or duties.
4.2 Payment for Products is due within 30 days of the date of our invoice. We accept payment by bank transfer, credit card, or debit card.
4.3 If you fail to make payment within the specified time, we reserve the right to charge interest on the overdue amount at the rate of 8% per annum above the Bank of England base rate.
5. Delivery
5.1 We will deliver the Products to the address specified in your order. Delivery timescales are estimates only and we shall not be liable for any delay in delivery.
5.2 Risk in the Products passes to you upon delivery.
6. Warranty
6.1 We warrant that the Products will be free from defects in materials and workmanship for a period of 12 months from the date of delivery.
6.2 This warranty does not cover any defects caused by:
(a) fair wear and tear;
(b) misuse or neglect;
(c) improper installation or maintenance;
(d) modification or alteration of the Products; or
(e) use of the Products for any purpose other than that for which they were designed.
6.3 If you believe that a Product is defective, you must notify us in writing within 7 days of discovering the defect. You must then return the defective Product to us at your own expense.
6.4 If we determine that a Product is defective, we will, at our option, repair or replace the Product free of charge.
6.5 This warranty is in addition to your statutory rights as a consumer.
7. Limitation of Liability
7.1 We shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the supply of Products, even if we have been advised of the possibility of such damages.
7.2 Our total liability to you in respect of any claim arising out of or in connection with the supply of Products shall be limited to the price of the Products.
8. Disclaimer
8.1 Aside from the provisions of Clauses 2 and 6 above, we manufacture and supply Products for use in a variety of engineering applications. We do not guarantee that the Products are suitable for any particular application or that they will meet your specific requirements.
8.2 We do not guarantee the performance of the Products when used as part of another individual's or company's wider projects, including but not limited to custom car modifications.
8.3 You are responsible for ensuring that the Products are suitable for your intended application and that they are used in accordance with our instructions and any applicable safety regulations.
9. Intellectual Property
9.1 All intellectual property rights in the Products and our website are owned by us or our licensors. You may not copy, reproduce, modify, or distribute any of our intellectual property without our prior written consent.
10. Termination
10.1 We may terminate this agreement at any time by giving you written notice.
10.2 You may terminate this agreement at any time by giving us written notice, provided that you have paid for all Products that have been delivered to you and reasonable costs we have incurred while manufacturing or designing products you later cancel.
11. Force Majeure
11.1 We shall not be liable for any delay or failure to perform our obligations under these Terms due to any cause beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, strikes, lockouts, or other industrial disputes.
12. Governing Law and Jurisdiction
12.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.
12.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the English courts.
13. Entire Agreement
13.1 These Terms constitute the entire agreement between us in relation to the supply of Products and supersede any prior or contemporaneous communications, representations, or agreements.
14. Severability
14.1 If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall remain in full force and effect.
15. Notices
15.1 All notices and other communications under these Terms shall be in writing and shall be deemed to have been duly given when delivered personally, sent by first-class post, or sent by email to the address specified in your order or as otherwise notified to us.
16. Waiver
16.1 No waiver of any provision of these Terms shall be effective unless in writing and signed by us.
17. Variation
17.1 We may vary these Terms from time to time by posting the revised Terms on our website. Your continued use of our website or ordering of Products after any such variation constitutes your acceptance of the revised Terms.
